Yoroll Creator Agreement

This Creator Agreement (“Agreement”) is entered into between you (“Creator”) and Yoroll (available at https://yoroll.ai, the “Platform” or “Yoroll”) and governs your participation as a certified creator on the Platform, including content publication and revenue sharing.

PLEASE READ THIS AGREEMENT CAREFULLY. By completing creator certification, accepting this Agreement, or publishing content eligible for revenue sharing on the Platform, you acknowledge that you have read, understood, and agreed to be bound by this Agreement.


1. Relationship to Other Agreements

  1. This Agreement forms an integral part of the Yoroll Terms of Use and Yoroll Privacy Policy and shall be interpreted consistently with them.

  2. In the event of any conflict, this Agreement shall prevail with respect to creator certification and revenue sharing matters.

  3. This Agreement applies only to users who have successfully completed the Platform’s creator certification process.


2. Independent Contractor Status

  1. Creators are independent contractors and are not employees, partners, agents, joint venturers, or representatives of Yoroll.

  2. Nothing in this Agreement creates any employment, partnership, fiduciary, or agency relationship.

  3. Creators may not bind or represent Yoroll in any manner.


3. Creator Eligibility and Certification

  1. Creators must satisfy the eligibility requirements and complete the certification process as determined by the Platform from time to time.

  2. Yoroll reserves the right to approve, suspend, or revoke creator certification based on compliance, content quality, operational needs, or legal requirements.

  3. Only certified creators may publish content eligible for revenue sharing.


4. Content Publication and Compliance Obligations

  1. Creators must ensure that all published content complies with:

    • This Agreement;

    • The Yoroll Terms of Use;

    • Platform content guidelines and policies;

    • Applicable laws and regulations.

  2. Creators are solely responsible for the legality, compliance, and accuracy of their content.

  3. Yoroll may remove, restrict, or disable content that violates these requirements.


5. Intellectual Property and Content License

  1. Creators retain ownership of their original content, subject to the licenses granted herein.

  2. Creators grant Yoroll a non-exclusive, worldwide, royalty-free license to use, host, reproduce, distribute, display, adapt, and technically process the content for the following purposes:

    • Operation and maintenance of the Platform;

    • Display, distribution, and promotion within the Platform;

    • Platform marketing, recommendation, and technical demonstration;

    • Necessary technical processing (including formatting, compression, and compatibility).

  3. This license does not transfer ownership of the content.

  4. Creators represent and warrant that their content does not infringe any third-party rights.


6. Revenue Sharing and Settlement (Core Terms)

  1. Eligible content published by certified creators may participate in revenue sharing.

  2. Specific revenue sharing ratios, settlement cycles, payment methods, minimum payout thresholds, and tax handling are governed by the separate agreement, addendum, or configuration confirmed by the Creator during certification or displayed on the Platform at the time of participation.

  3. Any revenue examples, projections, or estimates displayed by the Platform are for reference only and do not constitute a guarantee of earnings.

  4. Yoroll may suspend, adjust, or terminate revenue sharing for any of the following reasons:

    • Content violations or intellectual property disputes;

    • Breach of this Agreement, the Terms of Use, or Platform policies;

    • Legal or regulatory requirements;

    • Operational, technical, or risk management considerations.

  5. Any unpaid or unsettled revenues affected by the above circumstances shall not be subject to compensation.


7. Taxes

  1. Creators are solely responsible for determining, reporting, and paying any taxes arising from their earnings on the Platform.

  2. Yoroll does not provide tax advice and shall not be responsible for any tax liabilities incurred by Creators.


8. Modification and Termination

  1. Yoroll may modify this Agreement from time to time due to legal, regulatory, or operational changes, with reasonable notice where appropriate.

  2. Creators may request termination of their creator certification, after which they will no longer be eligible for revenue sharing.

  3. Yoroll may immediately terminate this Agreement and revoke creator certification in the event of material violations.


9. Limitation of Liability and Indemnification

  1. Creators agree to indemnify and hold harmless Yoroll from any claims, losses, damages, liabilities, or expenses arising out of:

    • Creator content;

    • Breach of this Agreement;

    • Violation of applicable laws or third-party rights.

  2. To the maximum extent permitted by law, Yoroll’s total liability to a Creator shall not exceed the amount actually paid to the Creator under this Agreement.


10. Final Interpretation Rights

To the maximum extent permitted by law, Yoroll retains final interpretation rights over this Agreement, creator certification rules, and revenue sharing mechanisms.


11. Governing Law and Dispute Resolution

  1. This Agreement shall be governed by the laws of the Platform’s place of incorporation.

  2. Any dispute arising out of or relating to this Agreement shall first be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to a court or arbitration body with proper jurisdiction.


12. Miscellaneous

  1. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

  2. Section headings are for convenience only and do not affect interpretation.
